1. Agreement Overview

1.1 Su`bscription Offer Agreement was last updated on 18 February 2025

1.2 This Subscription Offer Agreement (the “Agreement”) constitutes a legally binding offer made by Jinx Design Studio, a [business structure, e.g., limited liability company] organized under the laws of Country of Georgia (“Jinx” or “Jinx Studio”), to the client, whether personally or on behalf of an entity (“Client”), with respect to the access and use of Jinx Studio’s subscription-based design services (the “Services”).

1.3 By subscribing to the Services, Client expressly accepts this offer and agrees to be bound by all terms, conditions, and obligations contained herein. The Client’s acceptance is confirmed by submitting payment, creating an account, or otherwise engaging with the Services. If the Client does not agree to all terms of this Agreement, they are prohibited from using the Services and must immediately discontinue use. In such a case, the relationship between Client and Jinx Studio shall terminate, except that any outstanding payment obligations for services rendered shall remain in full force and effect.

1.4 This Agreement is effective as of the date the Client subscribes to the Services and shall continue until terminated in accordance with the terms outlined herein.

2. SERVICE DESCRIPTION

2.1 Scope of Services

The subscription (“Subscription”) provided by Jinx Studio grants the Client access to design services, subject to the terms outlined in this Agreement. The specific scope of the Services includes:

2.1.1 Design Requests: Clients may submit an unlimited number of design requests. However, requests will be processed one at a time in the order they are received unless otherwise stated in the selected plan.

2.1.2 Turnaround Time: Standard turnaround time for design requests is [X] business days, depending on the complexity of the task.

2.1.3 Revisions: Clients may request an unlimited number of revisions within reason. A revision is defined as an adjustment to an existing request, not an entirely new design. Excessive or unreasonable revision requests may be subject to additional fees.

2.1.4 Delivery Format: Final design files will be provided in [list of file formats, e.g., PNG, JPG, PDF, AI, etc.].

2.1.5 Communication: All requests, revisions, and approvals must be submitted via [communication platform, e.g., email, project management tool, client portal].

2.2 Subscription Limitations

The Subscription does not include the following:

2.2.1 Physical Services: The Subscription covers digital design work only. Jinx Studio does not provide printing or physical production services.

2.2.2 Third-Party Costs: Any third-party assets, including premium stock images, fonts, or software subscriptions required for a specific request, must be provided or purchased separately by the Client.

2.3 Service Availability & Fair Use

While Jinx Studio strives to provide high-quality and timely service, excessive or unreasonable requests may result in extended turnaround times. Jinx reserves the right to decline requests that violate fair usage policies, are unlawful, or fall outside the scope of the Subscription.

3. PRICING

3.1 Subscription plans

The Client agrees to pay the applicable subscription fee for the selected plan. The current pricing structure is as follows:

3.1.1 “Trial Task”

Price: $500 (one-time purchase)

3.1.2 “Single Soul”

Design Hours: 20+ hours per week

Active Designers: 1

Review Meetings: 1 per week

Lead Designer: Included

Project Manager: Not included

Price: $13,200 for 90 days or $5,200 for 30 days

3.1.3 “Double Deal”
Design Hours: 80+ hours per week

Active Designers: 2

Review Meetings: 2 per week

Lead Designer: Included

Project Manager: Not included

Price: $26,400 for 90 days or $10,400 for 30 days

3.1.4 “Trouble Team”

Design Hours: 160+ hours per week

Active Designers: Unlimited

Review Meetings: Unlimited

Lead Designer: Included

Project Manager: Included

Price: $52,800 for 90 days or $20,800 for 30 days

3.1.5 “Custom Chaos”

Pricing: Custom — Contact us for a personalized quote.

3.1.6 All prices are quoted in US Dollars and are subject to applicable taxes and fees. Pricing may be adjusted from time to time at Jinx Studio’s discretion, with prior notice to the Client.

3.2 Taxes and Fees

3.2.1 The subscription fee excludes any applicable sales tax, VAT, GST, or other government-imposed charges, unless explicitly stated otherwise. Clients are responsible for any such taxes or duties required by their jurisdiction.

3.2.2 If taxes must be collected, they will be added at checkout and clearly displayed before payment is completed.

3.3 Additional Fees

While the Subscription covers standard design services, additional fees may apply in the following cases:

3.3.1 Expedited Requests: If the Client requires a design within a shorter timeframe than the standard turnaround time, a rush fee may apply.

3.3.2 Custom Work: Requests that exceed the standard scope of services, such as complex illustrations, motion graphics, or branding strategy, may incur additional charges.

3.3.3 Third-Party Costs: Any premium fonts, stock images, or external design assets required for a project must be purchased separately by the Client.

3.3.4 Excessive Revisions: While reasonable revisions are included, an excessive number of modifications or major redesigns may be subject to additional fees.

3.4 Payment Authorization

By subscribing to the Services, the Client authorizes Jinx Studio or its payment processor to charge the provided payment method for the agreed subscription fee, along with any applicable taxes and additional fees.

4. PAYMENT TERMS

4.1 Accepted Payment Methods

Jinx Studio accepts the following payment methods for all subscription plans:

4.1.1 Credit & Debit Cards (Visa, MasterCard, American Express, Discover, etc.)

4.1.2 Bank Transfers (available for select plans and enterprise clients upon request)

4.1.3 PayPal or Other Digital Payment Services (if applicable)

4.1.4 Cryptocurrency Payments (if supported by our payment processor – subject to availability and transaction fees)

4.1.5 The Client must provide a valid payment method at the time of subscription purchase. Jinx Studio reserves the right to refuse service if a payment method is declined or flagged as suspicious.

4.2 Billing Cycles & Renewals

Subscriptions are billed based on the selected plan’s billing cycle:

  • Monthly Billing: Charged every 30 days from the initial subscription date.
  • Quarterly Billing: Charged every 90 days from the initial subscription date.

Payments are processed automatically at the beginning of each billing cycle. The Client will receive a confirmation email after each successful payment.

4.3 Auto-Renewal Policy

All subscriptions are set to auto-renew by default to ensure uninterrupted service.

• The Client’s selected payment method will be charged automatically at the end of each billing cycle unless the subscription is canceled before the renewal date.

• If the payment fails due to insufficient funds, expired cards, or other issues, [Company Name] will attempt to process the payment up to three times before suspending the service.

4.4 Managing & Canceling Auto-Renewal

• Clients can manage or disable auto-renewal at any time via their account settings or by contacting customer support at [support email].

• To avoid being charged for the next billing cycle, the Client must cancel their subscription at least [X] days before the renewal date.

• No refunds will be issued for payments that have already been processed.

4.5 Late Payments & Service Suspension

If a scheduled payment fails, [Company Name] may take the following actions:

• Payment Retry Attempts: The system will attempt to process the payment up to three times within [X] days.

• Temporary Service Suspension: If payment is not received after multiple attempts, the Client’s access to design services may be temporarily suspended until payment is successfully processed.

• Termination of Subscription: If payment remains outstanding beyond [X] days, the subscription may be permanently terminated.

4.6 Payment Disputes & Chargebacks

• If a Client disputes a payment or initiates a chargeback, [Company Name] reserves the right to suspend services immediately until the dispute is resolved.

• Chargebacks that are deemed fraudulent or in bad faith may result in permanent termination of the Client’s account.

• Clients are encouraged to contact customer support before disputing a charge to resolve any billing issues.

5. CANCELLATION AND refunds

5.1 Subscription Cancellation

Clients may cancel their subscription at any time by following the cancellation process outlined below. However, cancellation does not automatically entitle the Client to a refund unless explicitly stated in our refund policy (Section 5.2).

To cancel a subscription, the Client must:

Log into their account on the Jinx Studio platform.

Navigate to the Subscription Settings page.

Select the option to Cancel Subscription and follow the confirmation steps.

Alternatively, the Client may request cancellation by contacting [support email] at least [X] days before the next billing cycle.

Once canceled, the Client will retain access to the design services until the end of the current billing period, after which the subscription will not renew.

5.2 Refund Policy

Refund eligibility depends on the type of subscription and the timing of the cancellation.

Trial Task: Non-refundable unless no work has been delivered.

Monthly Subscriptions (30 Days): Refunds are not provided for partial months. Once a new billing cycle begins, payments are non-refundable.

Quarterly Subscriptions (90 Days): Refunds may be available if the Client cancels within the first [X] days of the subscription period. After this period, no refunds will be issued.

Custom Plans: Refunds are handled on a case-by-case basis, depending on the scope of work agreed upon.

Cooling-Off Period (If Applicable)For Clients in jurisdictions with consumer protection laws (e.g., the EU 14-day cooling-off period), cancellations made within this period may be eligible for a refund, provided that no design work has been completed.

No Refunds for Used Services If the Client has actively used the design services within the billing period, they will not be eligible for a refund, even if they cancel early.

5.3 Auto-Renewal and Opting Out

All subscriptions automatically renew at the end of each billing period unless the Client opts out of renewal before the next charge date.

Opting Out of Auto-Renewal: Clients may disable auto-renewal through their account settings or by contacting [support email] at least [X] days before the renewal date.

If a Client fails to disable auto-renewal before the billing date, the next payment will be processed, and no refunds will be issued.

If auto-renewal is disabled, the subscription will expire at the end of the current billing period, and the Client will lose access to the service.

5.4 Service Termination

Jinx Studio reserves the right to terminate a subscription if:

5.4.1 The Client fails to make a payment after multiple attempts (Section 4.5).

5.4.2 The Client violates the Terms of Service or engages in prohibited activities.

5.4.3 The Client abuses the service, including excessive or unreasonable design requests beyond fair use.

5.4.4 In cases where Jinx Studio terminates a subscription due to a violation of terms, the Client will not be eligible for a refund.

6. Termination Clauses

6.1 Jinx Studio reserves the right to terminate a subscription due to:

6.1.1 Non-payment or failed transactions.

6.1.2 Violation of the terms outlined in this Agreement.

6.1.3 Abusive behavior toward Jinx Studio staff.

6.1.4 Any other breach of contractual obligations.

6.2 Clients will receive a termination notice via email, specifying the reason and effective date of termination.

6.3 Upon termination, Clients lose access to Jinx Studio’s services, and any outstanding balances must be settled immediately.

7. Consumer Protection

7.1 Right to Withdraw

7.1.1 Clients residing in jurisdictions that mandate a “cooling-off” period (such as the EU) have the right to withdraw from their subscription within 14 days of purchase without penalty.

7.1.2 To exercise this right, Clients must submit a written withdrawal request to Jinx Studio within the allowed timeframe.

7.1.3 Refunds for withdrawals within the cooling-off period will be processed in accordance with Jinx Studio’s refund policy.

7.2 Dispute Resolution

7.2.1 Any disputes between Jinx Studio and the Client should first be attempted to be resolved through mutual negotiation.

7.2.2 If negotiation fails, disputes may be submitted to mediation or arbitration, as required by applicable laws or mutual agreement.

7.2.3 Clients agree that any legal disputes will be handled in the jurisdiction specified in this Agreement.
